Terms of Service

1. General provisions

These terms set out the rules for providing electronic services by Mateusz Radny, a sole trader operating under the business name Hermsoft Mateusz Radny, Nekielska 41, 62-330 Nekielka, Poland, NIP (tax ID): 7891698329, REGON: 361197187 (the “Provider”) — through the hermsoft.pl website (the “Site”) and the Transpira application (the “App”).

The terms are made available free of charge before a contract is concluded, in a form that allows them to be obtained, reproduced and stored.

2. Services provided on the Site

Through the Site, the Provider offers free of charge: access to product information, documentation and the blog, and a contact form for scheduling a product demo.

Using the Site requires only a device with an up-to-date web browser and internet access. Supplying unlawful content is prohibited.

3. The Transpira App

The App is a fleet management platform (telematics, maintenance, inspections, fuel and energy, compliance) provided as a subscription service (SaaS). The service is aimed at businesses, and the contract is concluded in connection with the customer's business activity.

The scope of features depends on the selected plan (Start, Growth, Scale) according to the current pricing published on the Site. New customers may use a free trial; continuing after the trial requires choosing a paid plan.

4. Account and organization

Using the App requires creating an account and authenticating. The user agrees to provide accurate details and protect their login credentials. User accounts operate within the customer's organization, which manages its users' roles and permissions.

5. Payments

Fees are charged per vehicle per month according to the pricing (in PLN or EUR), billed monthly or annually. Payments are processed by Stripe; invoices are issued electronically.

The subscription fee is charged per vehicle active in the Service in a given billing period, at the price list applicable on the first day of that period, subject to a minimum charge equal to 5 vehicles (billing minimum). Reducing the fleet below 5 vehicles does not reduce the fee below the billing minimum.

The subscription can be cancelled self-service in the panel at any time — effective at the end of the paid billing period. The Provider uses no fixed-term contracts and no cancellation fees.

6. Customer data

Data entered into the App (fleet data, drivers, documents) remains the customer's property. The Provider processes it solely to provide the service, in line with the Privacy Policy and — for personal data — under a data processing agreement (available on request).

The customer may export their data during the contract and before the account is closed.

7. Liability

The Provider strives to keep the service running without interruption and gives advance notice of planned maintenance. The App supports fleet management and compliance processes but does not replace the customer's legal obligations as an operator or its operational decisions.

To the extent permitted by law, the Provider's liability towards the customer is limited to the fees paid for the service in the 12 months preceding the event and does not cover lost profits.

8. Complaints

Complaints about the Site or the App can be submitted to kontakt@hermsoft.pl. The Provider handles complaints within 14 days of receipt and replies to the address the complaint was sent from.

9. Termination

The customer may stop using the Site, cancel the subscription and request account closure at any time. The Provider may terminate the contract or suspend access in the event of a material breach of these terms, after first calling for the breach to cease.

10. Final provisions

The Provider may amend these terms for valid reasons (changes in law, service development) and will notify App users at least 14 days in advance. Pricing changes do not apply retroactively to a paid period.

Polish law applies. Disputes with business customers are resolved by the court competent for the Provider's registered office. These terms are effective from August 7, 2026.
